Please read carefully these Terms of Use presented below before you start using Amped Studio.

By accessing, visiting or using our service you represent and warrant that you have read and understood the terms of the Agreement and the Privacy Policy, and will abide by them. If you do not agree with the Terms of Use then please stop using our site and services. We reserve the right to update any part of the Terms of Use from time to time.

Terms and Definitions

Terms of Use – is a legal contract between a service provider and the person using the website, app, or service. It establishes the rules, restrictions, and guidelines you must agree to follow to keep using that platform.

Account – is a unique user profile that grants access to a platform.

Subscription – is a business model where you pay a recurring fee at regular intervals to maintain continuous access to a product, service, or piece of content.

Credits – internal units used to measure consumption of certain paid tools in Amped Studio.

Responsibility – is the state of being accountable for your actions, decisions, and duties. It means you take ownership of your behavior and accept the consequences that come with it.

Software – is a set of instructions, data, or programs that tells a computer or digital device exactly how to operate and perform specific tasks. It is the virtual, untouchable counterpart to physical hardware.

Intellectual property – refers to creations of the human mind that are protected by law. Amped Studio by LettoPro SA remains the sole owner of all exclusive legal rights to Amped Studio in whole and in parts. Any copying without permission is prohibited.

Account suspension – is a temporary or permanent restriction placed on a user's account by a service provider or platform. When an account is suspended, the user is locked out and cannot access their profile, data, subscriptions, or services.

Account termination – is the permanent closure and deletion of a user's account by a service provider or platform. Unlike a temporary suspension, termination is final, completely revoking user access and erasing personal data, history, and active subscriptions.

Account Specific Terms

Amped Studio by LettoPro SA offers 2 account types: free individual account and a paid individual account. All accounts offered are strictly single user license accounts and cannot be transferred to another user. The name of the account type, its cost, the features and capabilities available in it, terms of use and other information important to the user can be found on the Pricing page.

Free Accounts

The Free Account gives the user access to any of the available free assets in Amped Studio. Furthermore, the Free Account will have some limitations as described on ampedstudio.com pricing page.

Paid Accounts

There are several types of paid accounts to gain access to the Amped Studio: Studio, Studio+ AI and Studio+AI Pro. Details of subscription types, their features and credit allowances are available here.

Monthly Subscription: the user agrees to monthly automatic payments until the user cancels their monthly subscription. After cancellation the account reverts to a Free account and all further monthly payments are stopped. If the user has any days remaining on the service, the account will revert to Free after this.
Yearly Subscription: the user agrees to yearly automatic payments until the user cancels their yearly subscription. After cancellation the account reverts to a Free account and all further yearly payments are stopped. If the user has any days remaining on the service, the account will revert to Free after this.

The 3-day Trial period on subscriptions provides users with all features and opportunities in Amped Studio, and after the 3 days the subscription will begin, and money will be withdrawn from the entered credit card. The subscriber can cancel before the 3-day period is over and no money will be withdrawn from their card. Subscribers can cancel the service from their Account Settings page.

Subscription auto-renewal and cancellation mechanics

Your subscription will automatically renew for a further period of the same duration as your initial subscription period unless you cancel your subscription before the end of the current subscription period. By subscribing, you authorize Amped Studio to charge the applicable subscription fee to your payment method at the start of each renewal period.

You may cancel your subscription at any time. If you cancel, you will continue to have access to your subscription through the end of your then-current billing period, but you will not receive a refund for any amounts already paid. Your subscription must be cancelled before it renews in order to avoid charges for the next billing period.

Refund policy

If you have paid for your use of the Services and terminate this Agreement before the end of your subscription, we are unable to offer any refund for any unexpired period of your subscription. We may provide a full or partial refund at our sole discretion in the following circumstances:

Technical errors. You consistently encounter a technical error that prevents you from using the Service properly, and our development team is unable to resolve the issue within 30 days after being provided with all requested information.
Duplicate Purchase. You accidentally purchased the same package more than once, and no minutes/credits were used from the duplicate package(s).
Payment Processing Errors. You were charged incorrectly due to a payment processing error (e.g., charged twice for a single purchase, charged for a cancelled subscription that was cancelled before the renewal date).
Price changes (at renewal). We reserve the right to change our prices at any time. Any price changes will be communicated to you in advance and will take effect at the start of the next subscription period following the date of the price change.

Credits

We may offer the option to prepay for certain Service through the purchase of credits ("Prepaid Service Credits"). Prepaid Service Credits represent the amount you have paid in advance for use of the respective Service.

Additional terms may apply to specific Services.

We may also offer Service Credits free of charge as part of a promotional program rather than for purchase ("Promo Service Credits"). Promo Service Credits will not be applied against any sales, use, gross receipts, or similar transaction based taxes that may be applicable to you.

Service Credits are not legal tender or currency; are not redeemable, refundable, or exchangeable for any sum of money or monetary value (except where required by law); have no equivalent value in fiat currency; do not act as a substitute for fiat currency; and do not constitute or confer upon you any personal property right. Service Credits are non-transferable and may be used only in connection with the applicable Service for which they were issued.

Your available Service Credit balance may be reviewed in your applicable Amped Studio account or workspace, depending on the specific Service. You are solely responsible for verifying that the proper amount of Service Credits has been added to or deducted from your balance. Your Service Credit balance is not a bank account, digital wallet, stored value account, or other payment device.

We prohibit and do not recognize any purported transfers, sales, gifts, or trades of Service Credits. Evidence of any attempt to use, sell, or transfer Service Credits in any manner violates these Terms and may result in revocation, termination, or cancellation of the Service Credits and/or your use of the Services without refund and/or immediate suspension or termination of your account.

All sales of Services, including sales of prepaid Services, are final. Service Credits are not refundable.

We may modify the number of credits required for a given operation at any time by posting a revised version on our website. Any such change applies only to operations performed after the change takes effect and does not reduce the value or validity of credits already in your balance.

User Responsibilities

Users of any account type are responsible for safeguarding their password used to access Amped Studio and for keeping contact information current.

The user is further responsible for any activity that happens within their account. If subscribed to a paid account, the user is solely responsible for cancelling their account. The user can do this by referring to the pricing page or FAQ. Cancelling will not delete the account, just revert to a free account.

Software and Updates

Amped Studio by LettoPro SA is granting the user a limited, non-exclusive, non-transferable revocable license to use the software, solely for the purpose of access Amped Studio's services. You may not copy, modify, alter in any other way, transfer, decompile or reverse engineer the software in all or any part. Amped Studio is updated periodically with new features and bug fixes. The updating process is automatic.

Acceptable Use Policy

You represent and warrant that you are either 18 years of age or more, or if you are 13 years of age or more and have your parent(s)' or legal guardian(s)' permission to use the Services.

BY USING THE SERVICE, YOU AGREE NOT TO:

use the Service for any illegal purpose or in violation of any local, state, national, or international law;
use the Service or any content, information, or data obtained from the Service for purposes of informing, training, or developing (or assisting in the informing, training, or developing of) artificial intelligence or machine learning technologies, services, or algorithms;
use the Service or any content, information, or data obtained from the Service in a manner that competes with or is intended to compete with Amped Studio or displace the market for the Service;
harass, threaten, demean, embarrass, bully, or otherwise harm any other user of the Service;
violate, encourage others to violate, or provide instructions on how to violate, any right of a third party, including by infringing or misappropriating any third-party intellectual property right;
access, search, or otherwise use any portion of the Service through the use of any engine, software, tool, agent, device, or mechanism (including spiders, robots, crawlers, and data mining tools) other than the software or search agents provided by Amped Studio;
interfere with security-related features of the Service, including by:
1. disabling or circumventing features that prevent or limit use or copying of any content; or
2. reverse engineering or otherwise attempting to discover the source code of any portion of the Service except to the extent that the activity is expressly permitted by applicable law;
interfere with the operation of the Service or any user's enjoyment of the Service, including by:
1. uploading or otherwise disseminating any virus, adware, spyware, worm, or other malicious code;
2. making any unsolicited offer or advertisement to another user of the Service;
3. collecting personal information about another user or third party without consent; or
4. interfering with or disrupting any network, equipment, or server connected to or used to provide the Service;
perform any fraudulent activity including impersonating any person or entity, claiming a false affiliation, accessing any other Service account without permission, or falsifying your age or date of birth;
sell or otherwise transfer the access granted under these Terms or any materials or any right or ability to view, access, or use any materials.

Changes of Terms

We may, from time to time, change these Terms.

We may require that you accept modified Terms in order to continue to use the Service. If you do not agree to the modified Terms, then you should stop using our Service. When we make any material changes to the Terms of Use, we will provide you with notice as we deem appropriate under the circumstances, and your continued use of the Service after the changes have taken effect will constitute your acceptance of the revised Terms of Use.

If you do not wish to continue using the Service under the new version of the Terms of Use, you may terminate.

We may change the price for the Paid Subscription plans and will communicate any price changes to you in advance. Price changes will take effect at the start of the next subscription period following the date of the price change.

If you do not agree with a price change, you have the right to reject the change by cancelling your Paid Subscription before the price change takes effect.

Sound Library

Registered Free users are granted a non-exclusive license to use any of the Free sounds in their productions and without further permission from LettoPro SA. This non-exclusive license does not give the user the right to sell, share or distribute the sounds or other content provided by LettoPro SA.

Premium Account Users are granted a non-exclusive license to use any of the Free or Premium sounds in their productions and without further permission from LettoPro SA. This non-exclusive license does not give the user the right to sell, share or distribute the content provided in the Sound Library or Service.

Warranty Disclaimer

WE DO NOT REPRESENT OR WARRANT THAT OUR SERVICE IS ACCURATE, COMPLETE, RELIABLE, CURRENT OR ERROR-FREE. EXCEPT AS OTHERWISE PROVIDED IN THESE TERMS, OUR SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE EXPRESSLY DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. IN ADDITION, YOU ASSUME THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF OUR SERVICE. THIS SECTION DOES NOT AFFECT YOUR STATUTORY RIGHTS AS A CONSUMER OR OTHER MANDATORY RIGHTS AFFORDED TO YOU BY APPLICABLE LAW.

Indemnity by user

You represent and warrant that:

You have full legal authority to enter into the Agreement, grant the licenses under the Agreement and perform your obligations hereunder;
Your content, and each and every part thereof, is an original work by you and you are the sole legal and beneficial owner of and own all rights, title and interests in your content, or you have obtained all rights, licenses, consents and permissions necessary to grant the rights and licenses under the Agreement and to authorize the use of your content as contemplated under the Agreement;
your content, and our use of your content in accordance with the Agreement, does not and will not infringe or violate any third party rights, including any Intellectual property rights, rights of privacy, or rights of publicity, or any applicable law or regulation.

To the fullest extent permitted by applicable law, you will indemnify, defend (at our option), and hold harmless Amped Studio and its officers, directors, partners, licensors, employees and agents from and against any losses, liabilities, claims, demands, damages, expenses or costs ('Claims') arising out of or related to: (a) your access to or use of the Service; (b) the content you submit, post, transmit, or make available through the Service or feedback; (c) your violation of these Terms; (d) your violation, misappropriation, or infringement of any rights of another (including intellectual property rights, publicity, confidentiality, property or privacy right or privacy rights); or (e) your conduct in connection with the Service.

You agree to promptly notify us of any third-party claims, cooperate with us in defending such claims, and pay all fees, costs, and expenses associated with defending such claims.

Copyright Policy

Amped Studio maintains a policy providing for the removal of any content, and the suspension or termination of any user, found to have infringed the rights of Amped Studio or of a third party, or to have otherwise violated any intellectual property laws or any provision of these Terms of Use. If you believe any material available through the Service infringes your copyright or other intellectual property rights, you should notify us at support@ampedstudio.com. We will respond promptly to remove or disable access to the material claimed to be infringing and will follow the applicable notice-and-takedown procedures to resolve the claim between the notifying party and the user who provided the content. This procedure is intended to comply with applicable copyright frameworks in the jurisdictions we serve, including the U.S. Digital Millennium Copyright Act (DMCA), the EU Directive on Copyright in the Digital Single Market, and Swiss copyright law. The contact above serves as our designated agent for infringement notices, including for the purposes of the DMCA.

Please provide the following notice:

Identify the copyrighted work or other intellectual property that you claim has been infringed;
The name and address of the rights owner of the copyrighted work or other intellectual property that you claim has been infringed;
Identify the material on the Services that you claim is infringing, with enough detail so that we may locate it on the Service;
A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law and/or that a rights infringement has been committed in respect of the copyrighted work or other intellectual property;
A statement by you declaring under penalty of perjury that (a) the above information in your notice is accurate, and (b) that you are the owner of the copyright interest involved or that you are authorized to act on behalf of that owner;
Your address, telephone number, and email address;

Amped Studio exercises a policy of terminating, in appropriate circumstances and at our sole discretion, account holders who are deemed to be repeat infringers. We may also at our sole discretion limit access to the Site and/or terminate the accounts of any users who infringe any intellectual property rights of others, whether or not there is any repeat infringement.

You represent and warrant that: (a) your content is your own original work, or you have obtained all rights, licenses, consents, and permissions necessary to upload it and to use it within Amped Studio as contemplated by these Terms; and (b) your content, and our processing of it to provide the Service, does not and will not infringe or violate the rights of any third party, including any copyright, trademark, performers' rights, rights of privacy, or rights of publicity, or any applicable law. You are solely responsible for the content you upload and for ensuring you hold the necessary rights to it.

Third-party AI tool provider disclaimers

Amped Studio does not have or maintain any control over nor does it take any responsibility for the external services, and is not and cannot be responsible for their content, operation or use.

By linking or otherwise providing access to any external services, Amped Studio does not give any representation, warranty or endorsement, express or implied, with respect to the legality, accuracy, quality or authenticity of content, information or services provided by such external services.

The User agrees that the use of external AI services is at their sole risk. Amped Studio shall not be liable for any damages, including but not limited to direct, indirect, incidental, or consequential damages arising out of the use or inability to use external AI services. Amped Studio makes no warranties or representations regarding the accuracy, reliability, or performance of, and disclaims all warranties, whether express or implied. In the event of termination of access to external AI services, Amped Studio shall not be liable to the User or any third party for any damages arising from such termination.

Dispute resolution

Any potential dispute shall be settled in accordance with Swiss Law and at the International Chamber of Commerce. The services hereunder are offered by LettoPro SA, a company incorporated under the laws of Switzerland and with its main place of business at Lausanne, Switzerland.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL LETTOPRO SA, ITS EMPLOYEES, AFFILIATES OR LICENSORS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL (INCLUDING LOSS OF USE, DATA, BUSINESS, OR PROFITS) DAMAGES, REGARDLESS OF LEGAL THEORY, WHETHER LETTOPRO SA HAS BEEN WARNED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Miscellaneous Legal Terms

THESE TERMS AND THE USE OF THE SERVICES AND SOFTWARE WILL BE GOVERNED BY THE LAW OF SWITZERLAND.

Warunki dotyczące kont

LettoPro SA (Amped Studio) oferuje 2 typy kont: bezpłatne konto indywidualne i płatne konto indywidualne. Wszystkie oferowane konta są kontami z licencją dla jednego użytkownika i nie mogą być przenoszone na innego użytkownika.

Konta bezpłatne

Bezpłatne konto daje użytkownikowi dostęp do wszystkich dostępnych bezpłatnych zasobów w Amped Studio. Ponadto bezpłatne konto ma pewne ograniczenia opisane na stronie cennika ampedstudio.com.

Konta płatne

Istnieją dwa rodzaje płatnych kont zapewniających dostęp do usług Amped Studio Premium i Premium +AI.

Subskrypcja miesięczna; użytkownik zgadza się na comiesięczne automatyczne płatności, dopóki nie anuluje swojej subskrypcji miesięcznej. Po anulowaniu konto wraca do statusu bezpłatnego, a wszystkie dalsze płatności miesięczne są wstrzymywane. Jeśli użytkownikowi pozostały dni usługi, konto wróci do statusu bezpłatnego po ich upływie.

Obowiązki użytkownika

Użytkownicy każdego typu konta są odpowiedzialni za ochronę hasła używanego do uzyskiwania dostępu do Amped Studio oraz za aktualność danych kontaktowych. Użytkownik ponosi ponadto odpowiedzialność za wszelkie działania w ramach swojego konta. Jako subskrybent płatnego konta użytkownik jest odpowiedzialny za anulowanie własnego konta. Może to zrobić, korzystając ze strony cennika lub FAQ. Anulowanie nie usuwa konta, a jedynie przywraca je do statusu bezpłatnego.

Oprogramowanie i aktualizacje

LettoPro SA udziela użytkownikowi ograniczonej, niewyłącznej, nieprzenoszalnej i odwołalnej licencji na korzystanie z oprogramowania wyłącznie w celu uzyskania dostępu do usług Amped Studio. Nie wolno przenosić, dekompilować ani odtwarzać kodu źródłowego oprogramowania.

Amped Studio jest okresowo aktualizowane o nowe funkcje i poprawki błędów. Proces aktualizacji jest automatyczny.

Prawa autorskie i własność intelektualna

Wszyscy zarejestrowani użytkownicy tworzący produkcje w Amped Studio zachowują pełną własność swoich dzieł. Użytkownik może sprzedawać, udostępniać i rozpowszechniać swoje produkcje bez dodatkowych zezwoleń i bez płacenia tantiem na rzecz LettoPro SA. Niniejsze Warunki nie przyznają Ci żadnych praw, tytułów ani udziałów w Usługach, Oprogramowaniu ani treściach Usług. Oprogramowanie i inne technologie, których używamy do świadczenia Usług, są chronione prawem autorskim i znakami towarowymi. Wszystkie znaki towarowe, nazwy i logo używane w oprogramowaniu, na platformie lub na ampedstudio.com pozostają własnością LettoPro SA i nie mogą być używane bez zgody LettoPro SA. LettoPro SA zachowuje wszelkie prawa do treści udostępnianych użytkownikowi.

Biblioteka dźwięków

Zarejestrowani użytkownicy bezpłatni otrzymują niewyłączną licencję na wykorzystywanie dowolnych bezpłatnych dźwięków w swoich produkcjach bez dodatkowej zgody LettoPro SA. Ta niewyłączna licencja nie daje użytkownikowi prawa do sprzedaży, udostępniania ani rozpowszechniania dźwięków lub innych treści dostarczanych przez LettoPro SA.

Użytkownicy kont Premium otrzymują niewyłączną licencję na wykorzystywanie dowolnych bezpłatnych lub Premium dźwięków w swoich produkcjach bez dodatkowej zgody LettoPro SA. Ta niewyłączna licencja nie daje użytkownikowi prawa do sprzedaży, udostępniania ani rozpowszechniania treści dostarczanych w Bibliotece dźwięków lub Usłudze.

Rozwiązanie umowy

Zastrzegamy sobie prawo do zawieszenia lub zamknięcia Usług lub Kont w dowolnym momencie, jeśli uznamy, że użytkownik nie przestrzega „Warunków użytkowania". Możemy zawiesić lub zamknąć konto, które korzysta z Usług w sposób powodujący naszą odpowiedzialność prawną lub zakłócający korzystanie z Usług przez innych. W przypadku zawieszenia lub zamknięcia postaramy się poinformować Cię z wyprzedzeniem i pomóc w odzyskaniu danych, chociaż mogą wystąpić przypadki (na przykład wielokrotne lub rażące naruszanie niniejszych Warunków, nakaz sądowy lub zagrożenie dla innych użytkowników), w których możemy zawiesić konto natychmiast.

Zastrzegamy sobie również prawo do zamknięcia lub zawieszenia konta lub utworu opublikowanego na stronie Tracks, który naszym zdaniem szkodzi duchowi kreatywnego tworzenia muzyki.

Ograniczenie odpowiedzialności

W NAJSZERSZYM ZAKRESIE DOZWOLONYM PRZEZ PRAWO, W ŻADNYM WYPADKU LETTOPRO SA, JEJ PRACOWNICY, PODMIOTY POWIĄZANE LUB LICENCJODAWCY NIE PONOSZĄ ODPOWIEDZIALNOŚCI ZA JAKIEKOLWIEK SZKODY POŚREDNIE, SZCZEGÓLNE, PRZYPADKOWE, KARNE, PRZYKŁADOWE LUB WTÓRNE (W TYM UTRATĘ MOŻLIWOŚCI KORZYSTANIA, DANYCH, DZIAŁALNOŚCI LUB ZYSKÓW), NIEZALEŻNIE OD PODSTAWY PRAWNEJ, NAWET JEŚLI LETTOPRO SA ZOSTAŁA OSTRZEŻONA O MOŻLIWOŚCI WYSTĄPIENIA TAKICH SZKÓD I NAWET JEŚLI ŚRODEK PRAWNY NIE SPEŁNIA SWOJEGO ZASADNICZEGO CELU.
